Terms of Service

Version 2.2 · October 2026

1. Who we are and what these Terms cover

ComputePortal Inc., a Delaware corporation (“ComputePortal”, “we”, “us” or “our”), provides managed compute services. These Terms of Service (“Terms”) govern access to and use of our website, dashboard, command-line tools, APIs, MCP server and the compute services we make available (collectively, the “Service”).

The Service is intended for business and professional use only, and not for personal, family or household purposes. By accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. References to “you” and “your” mean that organization or, where applicable, the individual acting in a business or professional capacity.

You accept these Terms by selecting the acceptance checkbox during registration or ordering. These Terms form a binding agreement between you and ComputePortal. You may review and download the Terms before accepting them.

Your use of the Service is also subject to our Billing Policy, which is incorporated into these Terms by reference. Our Privacy Policy and Cookie Policy explain how we handle personal data and related technologies.

2. Our role as your compute supplier

ComputePortal provides the Service to you in its own name and may use third-party infrastructure suppliers to deliver all or part of the Service.

We may select, engage, replace or change infrastructure suppliers and allocate or reallocate compute resources at our discretion, including where reasonably necessary for availability, performance, security, maintenance or operational efficiency.

We remain your contractual counterparty for the Service. However, we do not guarantee that any particular infrastructure supplier, hardware, location or configuration will remain available, unless expressly agreed otherwise in writing.

Nothing in these Terms creates a partnership, joint venture, employment, fiduciary or agency relationship between you and ComputePortal.

3. Infrastructure suppliers and workload migration

ComputePortal may provision, operate, relocate or migrate workloads and compute resources across its own or third-party infrastructure, including between suppliers, facilities and geographic regions, where reasonably necessary or appropriate for operational, technical, security, availability or commercial reasons.

We will use commercially reasonable efforts to minimize material disruption resulting from such changes, but do not guarantee uninterrupted service, seamless migration or continued availability of any particular infrastructure, configuration or location.

Unless expressly agreed otherwise in writing, ComputePortal makes no commitment regarding the geographic location or residency of workloads or data. Customers are responsible for determining whether the Service is suitable for their applicable data residency and regulatory requirements.

Where reasonably practicable, we will provide advance notice of planned changes that are expected to cause material service disruption or affect an expressly agreed data residency commitment. Emergency changes may be made without prior notice.

Any applicable data protection obligations, including requirements concerning subprocessors and international transfers of personal data, remain subject to applicable law and any applicable Data Processing Agreement.

4. Accounts, access and security

You must provide accurate and current information when creating and maintaining an account and must keep your account credentials, API keys, access tokens and other authentication methods confidential and secure.

You are responsible for managing access to your account and for all activities conducted through your account or using credentials or access tokens issued to you, including activities by employees, contractors, delegates and automated systems, except to the extent caused by ComputePortal's breach of these Terms or applicable law.

You must ensure that anyone you authorize to access the Service complies with these Terms. You are responsible for assigning, reviewing and revoking access permissions using the controls made available through the Service.

You must promptly notify ComputePortal if you become aware of unauthorized access to your account or a compromise of your credentials. ComputePortal may suspend or restrict access where reasonably necessary to protect the Service, its customers or third parties.

ComputePortal may require additional authentication, verification or security measures where reasonably necessary to protect the Service or comply with applicable law.

5. AI agents and automation

You may access and use the Service through scripts, automated workflows, AI agents and other automated systems using interfaces made available by ComputePortal.

You are responsible for configuring, authorizing, monitoring and controlling your automated systems, including AI agents and similar autonomous technologies, including their access permissions, instructions, usage and spending.

Actions performed through your account or using credentials or access tokens issued to you, including orders and purchases initiated by AI agents or other automated systems, are deemed authorized by you and are binding on you, even where initiated or executed without individual human review or approval, except to the extent resulting from ComputePortal's breach of these Terms or applicable law.

You are responsible for implementing appropriate safeguards and monitoring the activities of your automated systems, including AI agents, whether operating autonomously or under human supervision.

Any spending limits, permission controls, approval mechanisms or other safeguards made available through the Service are subject to their documented functionality and limitations. Unless expressly agreed otherwise in writing, ComputePortal does not guarantee that such controls will prevent all unintended transactions, usage or charges.

ComputePortal may restrict or suspend automated access, including access by AI agents, where reasonably necessary to protect the Service, prevent abuse or comply with applicable law.

6. Acceptable Use

You must use the Service lawfully and in compliance with these Terms and all applicable laws and regulations, including applicable export controls and economic sanctions.

You must not use, or permit others to use, the Service to:

You are responsible for ensuring that your users, contractors, AI agents and other automated systems comply with these restrictions.

ComputePortal may suspend, restrict or terminate access to the Service where it reasonably believes that these restrictions have been violated or that continued use presents a material security, legal or operational risk. Where reasonably practicable, we will provide notice and an opportunity to remedy the issue, but may act immediately where necessary.

Nothing in this section restricts legitimate, authorized security testing conducted with ComputePortal's prior written approval.

7. Compute provisioning, availability and service levels

Low-end compute resources are normally provisioned on demand. High-end compute resources, including GPUs, may require procurement and can typically take up to approximately 24 hours to become available. All provisioning times are estimates, not binding delivery commitments, and remain subject to resource availability.

ComputePortal will use commercially reasonable efforts to provision the compute resources ordered by you. If we cannot fulfil an order, any advance payment attributable to the undelivered resources will be refunded or credited.

We aim to provide high availability and may publish measured uptime and related performance information through the Service, including at /api/v1/status/uptime. Such information is provided for transparency and does not constitute a service level commitment or guarantee.

The Service may experience interruptions, delays, maintenance, performance variations or outages, including those arising from third-party infrastructure suppliers. ComputePortal does not guarantee uninterrupted or error-free operation, continuous availability or any particular level of performance.

Any binding service level commitments, availability guarantees, remedies or service credits apply only where expressly agreed in an accepted order or separate written Service Level Agreement. Otherwise, no minimum uptime or availability commitment applies, without prejudice to any refund rights expressly provided under our Billing Policy.

ComputePortal is responsible for provisioning and operating the compute infrastructure within the scope of the Service. You remain responsible for your applications, workloads, software, images, configurations, data and their suitability for your intended purposes.

Nothing in this section limits any express obligations agreed in writing or any obligations that cannot lawfully be excluded.

8. Prices and billing

Unless otherwise agreed in an accepted order or other written agreement, compute resources are billed one month in advance. Monthly automatic renewal is selected by default at checkout, and you may choose a single, non-renewing month where that option is offered.

Automatically renewing services are charged in advance at the price in effect on each renewal date. Prices may change daily and may be higher or lower than those charged for the preceding period. Current prices are displayed through the Service, including the pricing calculator and checkout. Price changes do not affect periods already paid for.

ComputePortal may offer alternative pricing and billing arrangements, including usage-based billing, where expressly specified and accepted at checkout, in an order or in another written agreement. The applicable pricing, billing period and payment terms will be those agreed for that arrangement.

Before each automatic renewal, we will send the account owner a notice stating the renewal date and amount. You may cancel automatic renewal through your dashboard before the renewal date to avoid the next charge.

You authorize ComputePortal to charge your selected payment method for all applicable fees, including recurring charges and usage or purchases initiated through your account by authorized users, AI agents or other automated systems, in accordance with these Terms and the applicable billing arrangement.

If a renewal payment is not successfully completed by the renewal date, the affected Service may be stopped immediately, without a grace period. Any subsequent restoration of service is subject to resource availability and does not guarantee recovery of previous workloads, configurations or data.

Prices exclude applicable taxes unless stated otherwise. Payments are processed through the payment methods made available by ComputePortal, including card payments processed by Stripe.

Our Billing Policy, including its provisions on payment failures, cancellations, refunds and disputes, forms part of these Terms. In the event of an inconsistency, these Terms prevail unless an accepted order or other written agreement expressly provides otherwise.

9. Price and savings statements

Any pricing comparisons, estimated savings or cost-reduction statements published by ComputePortal, including comparisons with third-party infrastructure providers, are provided for general information and illustrative purposes.

Such comparisons are based on the configurations, publicly available prices, assumptions and comparison dates identified in the relevant materials. Actual savings may vary depending on resource specifications, availability, usage, applicable discounts, taxes and other factors.

ComputePortal does not guarantee any particular cost saving or financial outcome. The prices applicable to your purchase are those confirmed at checkout or otherwise agreed in an accepted order or written agreement.

10. Cancellation, suspension and termination

You may cancel automatic renewal at any time before your next renewal date through your dashboard. Unless otherwise agreed, the affected Service will remain available until the end of the period already paid for. Cancellation does not entitle you to a refund for any unused portion of that period, except as provided in our Billing Policy or required by applicable law.

ComputePortal may suspend, restrict or terminate the Service or your account for non-payment, a material breach of these Terms, unlawful or prohibited activities, or where reasonably necessary to address security, operational or legal risks. Where reasonably practicable, we will notify you of the reason and provide an opportunity to remedy the issue. We may act immediately where the circumstances require.

If a renewal payment is not successfully completed by the renewal date, the affected Service may be stopped on that date without a grace period, as described in our Billing Policy.

When the Service expires, is suspended or is terminated, your workloads, configurations and data may become inaccessible or be deleted, including by our infrastructure suppliers. Depending on supplier capabilities, some resources or data may remain available for approximately 24 to 48 hours, but no retention or recovery period is guaranteed. Deletion may occur sooner and without further notice, to the extent permitted by applicable law and any applicable Data Processing Agreement.

You are responsible for maintaining your own backups and retrieving any data you wish to retain before the Service ends. Where technically available, you may request assistance with data retrieval, but ComputePortal does not guarantee continued access, retrieval or recovery after termination.

11. Your data, content and backups

You retain all rights, title and interest in your applications, software, workloads, data, content and computational results (“Customer Content”). ComputePortal does not acquire ownership of Customer Content.

You grant ComputePortal and its infrastructure suppliers a limited, non-exclusive right to host, access, process, transmit, reproduce and otherwise use Customer Content solely as reasonably necessary to provide, operate, secure, maintain and support the Service, comply with applicable law and enforce these Terms.

You represent that you have all rights and permissions necessary to submit and process Customer Content through the Service. You are responsible for the legality, accuracy, integrity and security of your Customer Content, including any encryption or other safeguards appropriate to its sensitivity.

All intellectual property rights in the Service, including its software, interfaces, APIs, documentation, technology and related materials, remain with ComputePortal or its licensors. Subject to these Terms, ComputePortal grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business or professional purposes during the applicable service period.

You are responsible for maintaining independent backups of your Customer Content, software, workloads and configurations. Unless expressly agreed otherwise in writing, ComputePortal does not provide backup, disaster recovery, data retention or restoration services and does not guarantee the availability or recovery of Customer Content following an outage, migration, suspension, non-payment or termination.

Where ComputePortal processes personal data contained in Customer Content on your behalf, the parties' respective rights and obligations are governed by applicable data protection law and any applicable Data Processing Agreement. In the event of a conflict concerning the processing of personal data, the applicable Data Processing Agreement prevails.

Nothing in this section excludes or limits obligations that cannot lawfully be excluded, including applicable data protection and security obligations.

12. Using your name

ComputePortal may use your company name, logo or a description of your use of the Service in its marketing materials only with your prior consent, given through a separate, optional opt-in during registration or otherwise in writing.

You may withdraw that consent at any time by contacting connect@computeportal.io. Following withdrawal, ComputePortal will cease new uses and remove existing uses from materials under its control within a reasonable period.

Case studies will be anonymized unless you have expressly agreed to be identified.

13. Warranties and disclaimers

ComputePortal will provide the Service with commercially reasonable skill and care.

Except as expressly provided in these Terms, an accepted order or another written agreement, and to the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis. ComputePortal disclaims all other warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Nothing in this section excludes or limits any express contractual obligations or remedies, including those under an applicable Service Level Agreement or Data Processing Agreement, or any obligations that cannot lawfully be excluded. Any service level commitments are subject to the conditions, limitations and remedies expressly agreed for those commitments.

14. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, loss of business or loss of anticipated savings, arising out of or relating to the Service or these Terms.

ComputePortal will not be liable for loss of or damage to Customer Content, workloads or configurations, except to the extent directly caused by ComputePortal's breach of its express contractual obligations or applicable law, and subject to the limitations in this section.

ComputePortal's total aggregate liability arising out of or relating to the Service or these Terms, whether in contract, tort or otherwise, will not exceed the greater of (a) the fees paid by you to ComputePortal during the three months immediately preceding the event giving rise to the claim, or (b) USD 100. For purposes of this limitation, a single event or series of related events shall be treated as one event, with the first such event determining the applicable three-month period.

These limitations do not apply to fraud, willful misconduct or any liability that cannot lawfully be excluded or limited.

Any service level commitments, service credits or other remedies expressly agreed under an applicable Service Level Agreement are governed by the terms of that agreement. Unless expressly agreed otherwise, any monetary liability arising from a failure to meet those commitments remains subject to the aggregate liability cap under these Terms.

15. Changes to these Terms

We may update these Terms. We will tell account owners of material changes by email or through the Service before they take effect. Changes will not apply to service periods already paid for.

Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree, you may cancel before the changes take effect.

16. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.

The state and federal courts located in Delaware shall have exclusive jurisdiction over any such dispute. Each party irrevocably submits to the jurisdiction of those courts and waives any objection based on inconvenient forum, to the extent permitted by applicable law.

17. Contact

For questions about these Terms or the Service, please use the Contact page on our website or email connect@computeportal.io.

For billing and payment inquiries, contact billing@computeportal.io.

18. Customer indemnification

You will defend, indemnify and hold harmless ComputePortal, its officers, directors and employees against third-party claims, damages, liabilities and reasonable legal expenses arising from:

This obligation applies only to the extent the claim results from matters for which you are responsible under these Terms, and does not apply to the extent caused by ComputePortal's breach of these Terms, negligence or unlawful conduct.

ComputePortal will promptly notify you of any claim, provide reasonable cooperation at your expense and allow you to control its defense and settlement, provided that no settlement may impose liability, obligations or admissions on ComputePortal without its prior written consent, not to be unreasonably withheld.

19. General provisions

Entire agreement. These Terms, together with the Billing Policy and any applicable accepted order or separate written agreement, constitute the entire agreement between you and ComputePortal concerning the Service and supersede prior agreements concerning the same subject matter. In the event of a conflict, an accepted order or separate written agreement prevails over these Terms to the extent expressly agreed, and these Terms prevail over the Billing Policy. Any applicable Data Processing Agreement governs the processing of personal data to the extent of a conflict.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.

No waiver. A failure or delay by either party to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without ComputePortal's prior written consent, not to be unreasonably withheld. ComputePortal may assign these Terms in connection with a merger, acquisition, corporate reorganization or sale of substantially all of its relevant business or assets.

Force majeure. Neither party is liable for delays or failures to perform caused by events beyond its reasonable control, excluding payment obligations. The affected party must use commercially reasonable efforts to mitigate the impact and resume performance.

Notices. ComputePortal may provide contractual notices by email to the address associated with your account or through the Service. You may send contractual notices to connect@computeportal.io. Email notices are effective when delivered to the recipient's email system, and notices through the Service when made available to the relevant account, except where applicable law requires otherwise.

Survival. Provisions that by their nature are intended to survive termination, including accrued payment obligations, intellectual property rights, limitations of liability, indemnification and dispute resolution, remain effective after termination.
